Steps to prep your Board Charm pack

Board packs go missing, get overcomplicated or are just not ready for month-end. Keep it sharp and stick to these steps, whether you're setting up for a Mahikeng building supplier or a Knysna bakery. Keeping the skeleton thin keeps everyone awake. If you ever get stuck deciding if an item belongs in the pack, just check our supplier notes on board packs owners will open.

  1. 1. Pull last month’s signed board skeleton PDF from your files by the 3rd.
  2. 2. Fill in this month’s KPI one-pager, use concrete numbers, not just green or red arrows.
  3. 3. Check your decision log for any items closed-out since the last meeting.
  4. 4. Confirm which directors emailed their agenda items by the 7th.
  5. 5. Attach proof of any SARS, CIPC or bank filings completed this month.
  6. 6. Allocate one page for each major supplier or cash concern flagged by ops.
  7. 7. List outstanding action items with initials, not departments.
  8. 8. Email the full skeleton pack to all directors by the 10th.
  9. 9. Ask each director to reply all with a simple 'read' confirmation.
  10. 10. File the current KPI one-pager, minutes and signed decision log for auditors.
  11. 11. Forward any flagged issues to your accountant or attorney for sign-off if needed.

Most common break points

Three things usually trip up owner-managed boards. First, someone never files the board pack in the right Google Drive or Dropbox folder, so it gets lost when SARS or your bank asks about decisions. Second, directors bring agenda items at the last minute or skip sending at all, so the pack is already out of date when you meet. Third, KPI pages often use vague colours, not real numbers, making it hard to see if turnover actually dropped in George or Ganyesa this month. If you need a nudge, build this into your regular board light ritual to train the team.

How to know it’s actually done

Done, on paper, means three things: There’s a single PDF with the skeleton, KPI page and last month’s signed decision log. Each director acknowledged reading it by email (even if late, but do nag for it before you pay the next director’s fee). All docs are saved in a folder that your auditor or partner can find without your help. No missing KPI numbers, all action items initialled. If a supplier hub or observer needs to check, you can show a full annual run, all neat, from the Observatory HQ or your own hard drive.

Worked example: Upriver Tiling (Mahikeng)

Sabelo runs Upriver Tiling with his sister just outside Mahikeng. At month-end, he prints the Board Charm skeleton by the 2nd, pulls the KPI one-pager with rand sales and outstanding cheques (R45,000 owed from a January tile fit at Mareetsane Primary School), and updates the decision log, two new suppliers added this month. He mails the pack to his sister and non-exec uncle by the 10th. Each replies 'read'. The folder in their SANRAL project Google Drive has the current and last six months’ packs. When their bank asks for proof of board approval on a new overdraft limit, he finds it under '2024 Board Packs', not bad, only forgot to save both sets of minutes once last year.
